Welcome to ThinkKits. These Terms of Service govern your access to and use of our connected educational platform. By utilizing our tools, you enter into a binding contractual arrangement with ThinkKits, LLC, ensuring compliance with federal and state procurement standards, safety metrics, and curriculum alignment data frameworks.

01 · BINDING RELATIONSHIPAcceptance of Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an educational institution, district, or vendor entity ("you"), and ThinkKits, LLC ("ThinkKits", "we", "us", or "our"), concerning your access to and use of our web platform, APIs, curriculum databases, physical manipulative kits, and any accompanying research tools. By accessing the platform, you acknowledge that you have read, understood, and agreed to be bound by all of these terms. If you do not agree with all of these terms, then you are expressly prohibited from using the site and must discontinue use immediately.

02 · SECURITY & REGISTRATIONAccount Terms

To access certain features of the platform, you must register for an account. By doing so, you represent and warrant that you are at least 18 years of age, possess the legal capacity to represent your institution, and that all registration information you submit is truthful and accurate. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each educator or administrator is permitted exactly one unique active user account; sharing credentials to bypass seats is strictly prohibited and constitutes grounds for account termination.

03 · PLANS & PAYMENTSSubscription Plans & Fees

ThinkKits operates under structured subscription models. Fees are billed on a recurring monthly or annual basis, depending on your selected tier. Any fee changes will be communicated at least 30 days prior to implementation. You are responsible for all applicable state, local, or federal taxes associated with your service access.

04 · SYSTEM ACCESSPermitted Use

The ThinkKits platform is explicitly tailored for the public education sector. Authorized usage includes conducting academic research, modeling school funding scenarios, preparing grant applications, aligning curricula with state/federal standards, evaluating vendor intelligence, and performing district-wide equity and budget analysis. Data compiled from NCES, USASpending, and State DOEs may be downloaded and shared internally within your registered school district for non-commercial administrative use.

05 · COMPLIANCE RULESProhibited Conduct

To preserve system integrity and protect our community, you agree not to: (a) engage in automated data harvesting, web scraping, or bulk extraction of public data compilations without our prior written consent; (b) resell, license, or commercially exploit any reports, graphs, or data structures generated by the platform; (c) attempt to reverse engineer, decompile, or bypass the application's underlying code or Neo4j databases; (d) distribute malware or exploit system vulnerabilities; or (e) use our data streams to engage in discriminatory targeting of specific schools, districts, or populations.

06 · CREATIVE OWNERSHIPIntellectual Property

All proprietary code, user interfaces, graph schema designs, visual media, and proprietary algorithms are the exclusive property of ThinkKits, LLC. The system compiles public domain data from NCES, USASpending, EDGAR, and EDEN; while the raw data itself is public, the specific compilation, schema architecture, and cross-reference linkages represent protected proprietary intellectual property. User Content created in our interactive workspaces remains owned by the user, provided that ThinkKits is granted a non-exclusive license to host and process such data for core services.

07 · REGULATORY PROTECTIONSData & Privacy

We take educational privacy seriously. ThinkKits operates in strict compliance with FERPA and COPPA guidelines. We do not solicit, compile, or store Student Personally Identifiable Information (PII) on our servers; our schools database contains strictly aggregated, public institutional metrics. As a signatory of the Student Data Privacy Consortium (SDPC) National Data Privacy Agreement (NDPA v2.1), we provide guaranteed data firewall parameters. Users retain absolute ownership of their personal profiles and private system searches.

08 · CLASSROOM TOOLSPhysical Products

In addition to digital services, ThinkKits offers physical K-5 curriculum manipulative kits. These kits are subject to pack-based pricing. Shipping and delivery estimates provided at checkout are calculated based on factory capacity and supply-chain logistics. Standard shipping is provided by regional freight partners; risk of loss passes to your institution upon delivery to your specified receiving dock. Damaged or defective physical components will be replaced at no additional cost if reported within 30 days.

09 · WARRANTIES LIMITDisclaimers

THE SERVICE AND ALL INCLUDED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THINKKITS, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALTHOUGH WE COMPILE REPUTABLE NCES AND USASPENDING FEDERAL AND STATE STREAMS, WE DO NOT GUARANTEE THAT THE COMPILATION IS FREE OF DATA CLERICAL ERRORS. PLATFORM CALCULATIONS DO NOT CONSTITUTE BINDING LEGAL OR FINANCIAL ADVICE.

10 · DAMAGES CAPLimitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THINKKITS, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF REVENUES, PROFITS, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM. THE TOTAL CUMULATIVE LIABILITY OF THINKKITS, LLC FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THINKKITS, LLC DURING THE 12-MONTH PERIOD PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11 · LEGAL COVERAGEIndemnification

You agree to defend, indemnify, and hold harmless ThinkKits, LLC, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the platform; (b) your violation of any term of these Terms of Service; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your user content caused damage to a third party.

12 · PLATFORM SUSPENSIONTermination

You may terminate your subscription at any time by accessing your billing panel; cancellations take effect at the end of the current billing cycle. ThinkKits, LLC reserves the right to suspend or terminate your account immediately, without prior notice or liability, in our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms of Service. Upon termination, your right to use the platform will immediately cease, and all account data may be permanently removed from our active systems.

13 · JURISDICTION & VENUEGoverning Law

These Terms of Service and your relationship with ThinkKits, LLC shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. Any dispute arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Pennsylvania. Prior to filing any formal claim, you agree to engage in a 30-day informal dispute resolution process with our legal team.

14 · CONTRACT TERMSGeneral Provisions

ThinkKits reserves the right to modify these Terms of Service at any time. We will notify you of material changes by posting the updated terms on our platform. Your continued use of the platform after such changes constitutes acceptance of the new terms. If any provision of these terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. Neither party shall be liable for delays caused by circumstances beyond their reasonable control.
